Terminating Subcontracts for Convenience or Default

The termination clauses are not required flow-downs under a government prime contract. These clauses operate very differently than is typically the case in commercial contracts. It is also not appropriate to simply include the clauses directly into a subcontract since the rights reserved to the government in these clauses are not ones that the prime can assume. Thus termination clauses must be specifically tailored to the circumstances and are subject to negotiation with the subcontractor. Then, when a termination occurs, the prime has specific responsibilities to the subcontractors and a limited time frame in which to implement the termination and settle subcontractor claims. This webinar will review the issues from negotiating a proper termination clause though the process of terminating and settling with subcontractors.
